Affiliate Program Terms & Conditions

AFFILIATE PROGRAM TERMS & CONDITIONS

1. General
By registering as an affiliate in the MyKitchenUpgrade Affiliate Program, you agree to these Terms & Conditions. Participation in the program is subject to approval by MyKitchenUpgrade (the “Company”).

2. Affiliate Relationship
The Affiliate acts as an independent contractor and is not an employee, partner, or representative of the Company.

3. Commission
Affiliates receive a commission for each valid sale generated through their unique referral link. The commission rate is displayed in the affiliate dashboard and may be adjusted individually by the Company at any time.

4. Tracking
Commissions are only granted for sales that are properly tracked via the Affiliate’s unique referral link. The Company is not responsible for untracked, incorrectly tracked, or lost referrals due to technical issues, browser settings, or user behavior.

5. Final Decision
All commission calculations and records are based on the Company’s tracking system and internal data. These records shall be considered final and binding.

6. Refunds & Cancellations
If a customer requests a refund, cancellation, or chargeback for an order, the corresponding commission will be deducted from the Affiliate’s balance.

7. Payouts
Commissions are calculated at the end of each month and paid within 14 days after the end of the respective period via PayPal to the account provided by the Affiliate. The Affiliate is responsible for providing correct and up-to-date payment details.

8. Billing (Self-Billing / Credit Note)
The Affiliate agrees that commissions are settled via self-billing (credit note) issued by the Company. The Affiliate does not issue invoices for commissions earned.

9. Credit Notes
The Company will issue a credit note (self-billing invoice) for all paid commissions. The credit note will be generated after payment and sent to the Affiliate via email.

10. Tax Treatment
If the Affiliate provides a valid VAT ID and acts as a business, commissions will be treated under the reverse charge mechanism where applicable and no VAT will be charged by the Company.

If the Affiliate does not provide a VAT ID or acts as a private individual, commissions will be paid without VAT. In such cases, no VAT will be shown on the credit note.

The Affiliate is solely responsible for the correct tax treatment and reporting of received commissions in their country of residence.

11. Promotion Guidelines
The Affiliate agrees to comply with all applicable advertising laws and regulations, including proper disclosure of affiliate relationships (e.g., #ad, #advertisement). Misleading, deceptive, or unlawful promotional methods are strictly prohibited.

12. Brand Usage
Affiliates may use marketing materials provided by the Company for promotional purposes. The Affiliate does not gain any trademark, copyright, or other intellectual property rights. Brand assets must not be modified or used in a misleading or deceptive way.

13. Prohibited Activities
Affiliates may not:
- Use spam, misleading advertising, or false claims
- Impersonate the Company or act as an official representative
- Use unauthorized discount codes or coupons
- Bid on brand-related keywords in paid advertising without prior written permission

14. Payment Responsibility
Payments made to the PayPal account provided by the Affiliate are considered valid. The Company is not responsible for incorrect, incomplete, or outdated payment information.

15. Account Approval & Termination
The Company reserves the right to approve or reject any Affiliate application at its sole discretion. The Company may terminate any Affiliate account at any time in case of misuse, violation of these Terms, or inactivity.

16. Changes to the Program
The Company reserves the right to modify, suspend, or terminate the Affiliate Program or these Terms at any time.

17. Limitation of Liability
The Company is not liable for indirect damages, loss of profits, loss of data, or any damages resulting from tracking errors, system failures, or misuse of the Affiliate Program.

18. Governing Law
These Terms & Conditions are governed by the laws of Germany.
